1. About img2img

img2img Labs, Inc. (“img2img”, “we”, “our”, or “us”) operates the img2img AI creation platform and related websites, including the workspace available at https://img2img.online/. These Terms of Service (“Terms”) govern your access to and use of our credit-based AI generation tools, dashboards, APIs, and any other services we provide (collectively, the “Service”).

By creating an account, purchasing credits or subscriptions, or otherwise using the Service, you agree to these Terms and to any policies referenced here (Privacy Policy, Cookie Policy, and Refund Policy). If you are using the Service on behalf of a company, you represent that you are authorized to bind that company to these Terms.

2. Service Description

img2img offers consumer-grade AI tooling for image-to-image transformations, outfit remixes, sticker packs, and related creative workflows. Core components include:

• Dashboard, prompt builder, and sharing tools for AI-generated media
• Credit-based consumption and subscription plans billed through Creem
• Optional API/webhook integrations, admin reporting, and analytics
• Customer support, tutorials, and updates released through our changelog

We may release beta features, experiments, or invite-only programs. Those features are offered “as is” and may be withdrawn at any time. Some features are only available to paid tiers or to accounts in good standing.

3. Account Eligibility and Security

You must be at least 18 years old (or the age of legal majority in your jurisdiction) to create an account. When registering you agree to:

• Provide accurate information and keep it updated
• Safeguard your login credentials and MFA codes
• Promptly notify us of unauthorized access or suspected abuse
• Use the Service solely for lawful, permitted purposes
• Accept responsibility for activity that occurs under your account

We may suspend or terminate accounts that violate these Terms, create security risks, or cause harm to other users. If you sign in with a third-party identity provider (Google, etc.) you must also comply with that provider’s rules.

4. Credits, Subscriptions, and Billing

img2img offers monthly/annual subscriptions and one-time credit packs. Credits represent the metered usage that powers AI generations, downloads, and other premium actions. By purchasing credits or subscribing you acknowledge that:

• Payments are processed through Creem (or another provider we disclose) and subject to their terms
• Taxes, currency conversion, and bank fees are your responsibility
• Credits are non-transferable and non-refundable once consumed, except as described in our Refund Policy
• We may adjust credit pricing, grant schedules, or features with reasonable notice
• Subscriptions renew automatically unless cancelled prior to the renewal date

You can manage cancellations, upgrades, and credit packs from the billing dashboard. If a payment fails we may suspend access until the balance is paid. Please review the Refund Policy for eligibility criteria if you believe a refund is warranted.

5. Acceptable Use & AI Safety

To protect creators, models, and the broader community you must not use the Service to:

• Generate or distribute unlawful, hateful, or harassing content
• Create impersonations, deepfakes, or synthetic media that violate privacy or publicity rights
• Upload infringing reference material without the necessary rights or permissions
• Probe, scan, or disrupt our infrastructure or the infrastructure of our providers
• Use automated scripts to scrape, harvest credits, or resell access without written permission
• Mislead end users about AI involvement when disclosure is required by applicable law

We may review generated content to enforce these Terms, improve the Service, or comply with legal obligations. We reserve the right to remove content or disable prompts that violate policy or create brand risk.

6. User Content and License Grants

You retain ownership of reference uploads, prompts, and final outputs you create through the Service, except for models or assets we provide. By submitting content you grant img2img a worldwide, non-exclusive, royalty-free license to host, process, transmit, and display that content solely to operate, improve, and support the Service.

If you provide feedback, tests, or feature ideas, you grant us permission to use that feedback without restriction. You are responsible for securing permissions from anyone depicted in the content you upload or generate.

7. Intellectual Property

The Service, including text, code, logos, and model weights, is owned by img2img and protected by intellectual property laws. Except for the limited rights expressly granted, no title or ownership is transferred to you. You may not copy, modify, rent, lease, sell, or reverse engineer any portion of the Service without written consent.

Trademarks, logos, and domain names belonging to img2img or our partners may not be used without authorization.

8. Third-Party Services

The Service relies on third-party tools such as Creem (billing), Resend (email), Google OAuth, and hosting providers. Your use of those features may be subject to the third party’s terms. img2img is not responsible for downtime or data processing performed by third parties, but we choose reputable vendors and monitor integrations regularly.

9. Service Availability and Modifications

We aim for reliable service yet do not guarantee uninterrupted availability. Planned maintenance, model retraining, or updates may temporarily affect performance. We may change or discontinue features at any time, but we will give reasonable notice when changes materially impact paid plans.

10. Disclaimers & Limitation of Liability

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUTPUTS WILL BE ACCURATE, UNIQUE, OR ERROR-FREE.

TO THE EXTENT PERMITTED BY LAW, IMG2IMG AND ITS OFFICERS, EMPLOYEES, AND PROVIDERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID TO IMG2IMG IN THE PRECEDING THREE (3) MONTHS.

11. Indemnification

You agree to indemnify, defend, and hold harmless img2img, its affiliates, and their respective officers, directors, employees, licensors, and agents from any claims, losses, liabilities, damages, and expenses (including reasonable attorneys’ fees) arising from your misuse of the Service, breach of these Terms, or violation of law or third-party rights.

12. Termination

We may suspend or terminate your access if you breach these Terms, fail to pay, or create a security risk. You may cancel your account at any time through the dashboard. Upon termination, sections that by nature should survive (intellectual property, disclaimers, etc.) will remain in effect. We will not delete your prompts or images immediately, but you may request deletion as described in our Privacy Policy.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Any dispute will be resolved exclusively in the state or federal courts located in Delaware, and you consent to their jurisdiction. Before filing suit, both parties agree to attempt informal resolution for thirty (30) days.

14. Changes to These Terms

We may update these Terms to reflect changes in law or our Service. Material updates will be announced via email, changelog, or an in-app notice at least 14 days in advance. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
